About these terms

These terms and conditions (“Terms”) govern access to and use of Knotis, the operations platform for aquaculture businesses, including the web application, the Knotis mobile app, the visitor kiosk and the website at knotis.app (together, the “Service”).

By creating an account, signing an order form or using the Service, you agree to these Terms on behalf of the organization you represent (“Customer”, “you”). If you do not have authority to bind that organization, do not use the Service.

The Service is intended for businesses. It is not offered to consumers.

Definitions

• Organization: the Customer’s workspace in Knotis, including its sites, nets, cages, staff and settings.
• Users: the people the Customer invites to its Organization, such as owners, managers, supervisors and field staff.
• Customer Data: all information entered into or generated in the Service by or for the Customer, including net and cage records, in-water cycles, work orders, rosters, clock-in events, timesheets, visitor records and photos.
• Order Form: the quote, plan selection or subscription confirmation that sets out the plan, fees and term.

Accounts and access

The first account in an Organization is its owner. Owners and admins decide who is invited, which role each User has and which sites they can see. You are responsible for:

• keeping sign-in details and kiosk or clock-in PINs confidential;
• removing access for Users who leave your organization;
• everything that happens under your Users’ accounts.

Tell us without delay at [email protected] if you suspect unauthorized access.

Subscription, fees and payment

The plan, the number of sites or Users included, the fees and the billing period are set out in the Order Form. Unless the Order Form says otherwise:

• fees are charged in advance for each billing period and exclude VAT;
• subscriptions renew automatically for the same period unless either party cancels before the renewal date;
• invoices are payable within 14 days;
• fees already paid are not refundable, except where these Terms say so.

If a free trial is offered, it ends on the date shown in the app. At the end of a trial, the Organization becomes read-only until a plan is selected.

We may change our prices with at least 30 days’ notice. New prices apply from your next renewal.

Acceptable use

You and your Users must not:

• use the Service in breach of any law, including employment, labour and data protection law;
• upload content you have no right to use, or that is unlawful or harmful;
• attempt to access another organization’s data or bypass role and site permissions;
• probe, scan or test the Service for vulnerabilities without our written permission;
• interfere with the Service, overload it or use automated means to extract data beyond the features we provide;
• resell or sublicense the Service, or use it to build a competing product.

Your data

You own your Customer Data. You grant us the right to host, copy, process and display it only as needed to provide, secure and support the Service and as described in our privacy policy.

When we process personal data on your behalf (for example your staff’s clock-in records or your site visitors’ details), we act as your processor and you remain the controller. Our data processing terms are part of these Terms and are available on request.

You are responsible for the accuracy of Customer Data and for having a lawful basis to collect it. In particular, before enabling location-based clock-in, selfie verification or the visitor kiosk, you must inform your staff and visitors of that processing as the law requires and, where needed, consult their representatives.

Mobile app, clock-in and kiosk

The mobile app can record clock-in and clock-out events using GPS location, QR codes or NFC tags, and can ask for a selfie. Location is captured at the moment of the clock event, not tracked continuously. Manual entries are flagged for manager review.

The visitor kiosk records who signs in and out at a site. Visitor records and selfies are deleted automatically after the retention period your Organization sets.

These features depend on the User’s device, operating system permissions and network coverage, which are outside our control. Timesheets, overtime and leave figures calculated by the Service should be reviewed by you before they are used for payroll.

Operational records

Knotis helps you record and track nets, cages, deployments, maintenance and staff. It does not replace your own inspections, the manufacturer’s instructions or your obligations under veterinary, environmental, health and safety or other regulations. Decisions about equipment and people remain yours.

Availability and support

We aim to keep the Service available at all times, but it may be interrupted for maintenance, updates or reasons beyond our control. We will give advance notice of planned maintenance that is likely to cause significant downtime where we reasonably can.

Support is provided by email at [email protected] during Greek business hours, unless your Order Form includes a different level of support.

We may improve and change the Service over time. We will not materially reduce its core functionality during a paid subscription period.

Intellectual property

The Service, its software, design and documentation, and the Knotis name and logo belong to us or our licensors. These Terms give you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription.

If you send us suggestions or feedback, we may use them without obligation to you.

Confidentiality

Each party will keep the other’s non-public information confidential, use it only for the purposes of these Terms and protect it with at least reasonable care. This does not apply to information that is public, already known to the recipient, independently developed or lawfully received from a third party, or that must be disclosed by law.

Suspension and termination

You can cancel your subscription at any time from the Organization settings or by emailing us. Cancellation takes effect at the end of the current billing period.

We may suspend access if fees are more than 30 days overdue, or immediately if your use of the Service breaches these Terms in a way that threatens the security or integrity of the Service or other customers. We will restore access once the issue is resolved.

Either party may terminate for material breach that is not remedied within 30 days of written notice.

After termination, you can export your Customer Data for 30 days. After that period we delete it from the live Service, and from backups within their normal rotation, unless the law requires us to keep it.

Warranties and liability

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided “as is”, without other warranties.

Neither party is liable for indirect or consequential losses, or for loss of profit, revenue or data that could have been avoided by the other party’s reasonable action.

Each party’s total liability arising from these Terms in any 12 months is limited to the fees you paid for the Service in those 12 months.

Nothing in these Terms limits liability for intent or gross negligence, for death or personal injury, or any liability that cannot be limited by law.

Changes to these terms

We may update these Terms. For material changes we will notify owners by email or in the app at least 30 days before they take effect. If you do not agree, you can cancel before the changes apply. The date at the top of this page shows when they were last updated.

Governing law

These Terms are governed by Greek law. The courts of [city], Greece have exclusive jurisdiction over any dispute arising from them.
